  • Overview

    The Corporate Counsel will support various business units within the bank in corporate and transactional matters, including drafting and negotiating commercial agreements with third-party vendors and service providers, drafting terms and conditions for the bank’s products and services, and providing general legal and regulatory advice.

    Responsibilities

    General Legal Responsibilities:

    • Research various areas of the law and develop and update bank agreements, forms, letters, and procedures as necessary.
    • Research new developments in the law and their application to bank policies, procedures, and forms and provide training on new laws and regulations when necessary.
    • Provide legal guidance and prepare agreements, procedures, and other documents necessary for the implementation of projects throughout the bank.
    • Review and negotiate vendor contracts, leases, and agreements.
    • Oversee all legal orders and litigation matters for the bank. Independently manage a litigation caseload, including supervision of outside counsel.
    • Oversee legal aspects related to employment matters, including collaboration with HR Department on programs, policies and procedures and management of HR claims.
    • Handles the oversight of legal order process, managing responses to discovery requests, including subpoenas, garnishments and similar legal orders.
    • Advise workout staff and lenders on loan workouts and REO sales.
    • Oversee Bank insurance policies and process.

    Contracts:

    • Drafts agreements and contracts between CrossFirst entities.
    • Drafts and/or reviews all contracts between CrossFirst entities and third parties.
    • Reviews retail banking forms and agreements utilized by bank subsidiaries. Drafts such agreements as requested.
    • Reviews vendor agreements as requested.
    • Drafts and/or reviews all leases, subleases, real estate purchase contracts, and construction contracts to which the Company is a party.

    Regulatory:

    • Provides assistance on compliance with state and federal banking laws and regulations.
    • Researches state and federal statutes and regulations as necessary.
    • Assist with various regulatory issues and requests from the OSBC, FDIC or FRB.
    • Assists management in identifying compliance and regulatory issues.
    • Provides assistance in monitoring compliance with commitments made by the Company or the banks to regulatory agencies.

    Litigation:

    • Retains or assists with selection of outside counsel in litigation matters involving the company.
    • Monitors work of outside counsel.
    • Coordinates discovery production.
    • Reviews pleadings and other documents prepared by outside counsel.
    • Acts as liaison between outside counsel and management.
    • Reviews legal billings and works to control outside legal costs.
    • Attends court hearings as needed.

    Miscellaneous:

    • With other members of management, determines strategy for utilizing in-house versus external legal support on various matters.
    • Provides assistance in marketing efforts as requested.

    Qualifications

    • Minimum of three years of relevant experience in a law firm or in-house legal department
    • Experience with and knowledge of legal principles applicable to bank contracts, preferably including experience in bank vendor contracting and management, as well as related regulations, technology contracts, intellectual property rights and indemnification provisions.
    • Strong academic credentials
    • Superior writing and analytical skills
    • Excellent attention to detail
    • Admission to the Kansas bar
    • Ability to manage multiple, fast-moving projects with a moderate degree of oversight.
